Guest Release & Booking Terms

Please read the agreement in full. Scroll to the end and the tick box below will unlock.

This Agreement is made between:

Geoffrey Nicholson trading as GN Coaching / UK Business IQ (the “Producer”), and the individual, business, company or organisation completing the booking (the “Guest”).

By proceeding with payment, the Guest confirms that the booking is made in the course of their business, trade, profession or organisational activity and not as a consumer. The Guest acknowledges that this is a business-to-business booking and that consumer cancellation rights may not apply.

1. Intellectual Property

All recordings, raw files, master files, edited episodes, video files, audio files, thumbnails, transcripts, derivative works, show formats, branding, artwork, captions, metadata, social media extracts, platform uploads, website embeds and associated materials created in connection with UK Business IQ and affiliated platforms remain the sole and exclusive property of the Producer.

No ownership rights are transferred to the Guest.

All rights not expressly granted are reserved by the Producer. The Producer may upload, host, publish, embed, syndicate, promote, remove, replace, re-upload or otherwise distribute the episode and related materials through podcast platforms, YouTube, social media platforms, the Producer’s websites, email campaigns, third-party promotional partners and other suitable distribution channels.

2. Guest Usage Rights

2.1 Standard Promotional Licence

Upon publication, the Guest is granted a limited, non-exclusive, non-transferable licence to:

Share the official published episode link;

Embed the official player, link, iframe or embed code where provided;

Promote the episode in its original, unaltered, branded format;

Refer to their appearance on UK Business IQ in their own marketing, provided the reference is accurate and not misleading.

The availability, appearance, branding, functionality, privacy settings, advertising settings, analytics and embed behaviour of any player or link may depend on the third-party platform used. The Producer does not guarantee that any third-party platform will provide a specific design, feature, privacy setting, advert-free experience, analytics access or ongoing availability.

The Guest shall not, unless the appropriate Video and Audio Repurposing Upgrade has been purchased and confirmed in writing:

edit, cut, extract, modify, remix, clip or reformat the recording;

create derivative works;

upload re-edited versions;

use any portion in paid advertising, boosted posts, sponsored content or sales campaigns.

The following applies to every Guest at all times and is not affected by any upgrade: the Guest shall not remove, strip, obscure or replace UK Business IQ branding, introductions, sponsor messages, credits or outros from the full published episode, and shall not upload, share, distribute or re-publish an altered, unbranded or de-badged version of the full episode.

Unauthorised use constitutes copyright infringement.

2.2 Video and Audio Repurposing Licence (Optional Upgrade)

Where the Audio Repurposing Upgrade or Video Repurposing Upgrade has been purchased, the Producer grants the Guest a non-exclusive, perpetual, non-transferable licence to use the recording of their own interview for their own business marketing, promotional, advertising, social media, website and sales-related purposes.

Raw files

The Guest is supplied with the raw recording files covering their own part of the interview session, in the format purchased (audio only, or audio and video). Raw files are supplied for the Guest’s own use under this licence and remain the copyright of the Producer.

Raw files contain the unedited interview session only. They do not contain UK Business IQ show branding, introductions, sponsor messages, credits, outros or graphics, and nothing in this licence permits the Guest to remove such branding from the full published episode.

What the Guest may do

Cut, clip, trim and edit their raw interview audio and video into short-form clips, social media reels, shorts, audiograms, highlights and promotional extracts;

Add their own captions, subtitles, branding and graphics to those clips;

Use those clips and extracts on their own website, in email newsletters, in presentations and across organic or paid social media to promote their own business, products or services.

Ownership and limits

The Producer retains overall ownership of the show. All master files, the full edited episode, the show format, branding, artwork and all broadcast and distribution rights remain the sole and exclusive property of the Producer. Usage rights granted here apply only to the Guest’s own business or organisational promotion and do not extend to third-party clients, partners or affiliates unless expressly agreed in writing.

This licence:

grants usage rights only and does not transfer copyright ownership;

does not grant ownership of UK Business IQ, GN Coaching or associated brands;

does not permit resale, sub-licensing, syndication or redistribution of the raw or edited files to any third party;

does not permit the Guest to re-publish the complete episode as their own programme, or under another podcast, channel or show name;

does not permit the Guest to remove branding, introductions, sponsor messages, credits or outros from the full published episode, or to distribute an unbranded version of it;

does not permit the Guest to imply partnership, sponsorship or endorsement unless expressly agreed in writing;

does not permit misleading editing, removal of context, or alteration that could damage the reputation of the Producer, UK Business IQ, any sponsor, partner or participant.

The Producer retains full and ongoing copyright ownership.

Raw files are made available for download for 30 days following delivery unless otherwise agreed in writing. The Guest is responsible for saving their own copy within that period.

3. Editorial Control

The Producer retains sole editorial control over all recordings and final published materials.

Editing may include removal of filler words, pauses, and minor clarity adjustments. Editing will not materially alter the substance of the Guest’s statements.

The Producer may refuse to publish, delay publication, edit, replace or withdraw content that is defamatory, factually inaccurate, legally problematic, misleading, overtly promotional, below broadcast standards, or in breach of third-party platform rules, community guidelines, advertising rules or distribution requirements.

The booking fee covers production time, preparation, recording, editing and associated overhead. Publication is subject to editorial approval, technical suitability, legal suitability and compliance with this Agreement. The Producer’s editorial decisions shall be final.

4. Pre-Release Review (If Provided)

If a preview link is provided:

The Guest has 48 hours from delivery to identify factual inaccuracies or legal concerns.

Only factual inaccuracies or legal issues will be considered.

Stylistic preferences, performance concerns, or tone objections are not grounds for revision.

Substantive changes requiring re-recording or material editing may incur additional production fees.

Failure to respond within 48 hours constitutes approval.

After publication, no edits will be made except where legally required.

5. Post-Publication Removal

Once published, the episode forms part of the UK Business IQ archive.

Removal after publication is not guaranteed.

If the Producer agrees to remove published content at the Guest’s request, a £500 administrative removal fee may apply. This fee reflects administrative time, distribution withdrawal, platform management and archive management costs.

The Guest understands that removal from third-party platforms, search engines, podcast directories, social media platforms, embeds, cached pages, partner shares or previously distributed links may not be immediate, complete or fully within the Producer’s control.

6. Guest Warranties & Indemnity

The Guest warrants that:

They have the legal right to share all content discussed.

All statements made are accurate to the best of their knowledge.

No confidential, unlawful, or infringing material will be disclosed.

The Guest accepts sole responsibility for all statements made during the recording.

The Guest shall indemnify and hold harmless the Producer against any claims, damages, losses, costs, or legal proceedings arising from:

Statements made by the Guest;

Advice provided by the Guest;

Inaccurate or misleading representations.

The Producer acts solely as a platform host. This indemnity shall survive publication and termination of this Agreement.

7. Limitation of Liability

To the fullest extent permitted by law:

The Producer’s total liability shall not exceed the booking fee paid.

The Producer shall not be liable for indirect, consequential, reputational, or economic loss.

No guarantee is made regarding business outcomes, audience reach, views, downloads, engagement, search visibility, platform performance, embedding functionality, third-party availability or commercial results.

Nothing in this Agreement excludes liability for death or personal injury caused by negligence where prohibited by law.

8. Fees, Rescheduling & No-Shows

Requests to reschedule must be made at least 24 hours prior to recording.

Failure to attend without proper notice results in forfeiture of the booking fee.

Subject to applicable law, bookings made under promotional or event pricing are non-refundable once payment has been made.

If the Producer must reschedule due to illness, technical failure, or unforeseen circumstances, the Guest will be offered the next available suitable slot. Rescheduling is the sole remedy.

9. Force Majeure

The Producer shall not be liable for delay or failure to perform due to circumstances beyond reasonable control, including illness, medical conditions, technical disruption, internet failure, or force majeure events.

Rescheduling shall be the sole remedy.

10. Production Timeline

Standard production timeline is approximately 8–12 weeks from recording.

This timeframe is an estimate and not a guaranteed deadline. Publication may also be affected by third-party platform processing times, technical issues, upload errors, account restrictions, platform outages or distribution delays outside the Producer’s control.

A delay to the estimated production timeline does not automatically entitle the Guest to a refund, provided reasonable efforts are being made to complete and publish the episode.

Fast Track upgrades are limited and subject to availability.

11. Asset Submission

The Guest must provide the requested assets prior to recording.

Failure to provide materials may result in delay or the use of placeholders.

12. Guest Supplied Materials

The Guest grants the Producer permission to use any headshots, logos, biographies, images, documents, website links, social media handles, slides or other materials supplied by the Guest for the purposes of producing, publishing, promoting and distributing the episode.

The Guest warrants that they have the necessary rights, licences and permissions to provide those materials and that their use by the Producer will not infringe any third-party rights.

13. Equipment Responsibility

The Guest is responsible for ensuring adequate recording conditions, including the use of wired headphones and a quiet environment.

The Producer accepts no liability for poor audio or video quality resulting from inadequate equipment, poor lighting, background noise, unsuitable recording conditions, internet connectivity issues, technical failures or interruptions on the Guest's side.

Where a video package is included, the Guest understands that the video is recorded and delivered as an authentic, unscripted piece of content. It is not produced to broadcast or studio standards, and does not include professional lighting, multi-camera setup or extensive editing. This is a deliberate part of the format, intended to reflect a genuine business conversation rather than a heavily produced piece, and the Guest accepts the video on this basis.

14. Recording Confirmation & Verbal Acknowledgement

At the commencement of the recording session, the Producer may obtain a verbal confirmation from the Guest that:

The Guest consents to being recorded.

The Guest understands that the interview is educational in nature and not a sales platform.

The Guest accepts responsibility for the accuracy of statements made.

The Guest is satisfied with their recording environment and equipment setup.

The Guest acknowledges that this verbal confirmation may be recorded and retained as evidence of consent and acceptance of recording conditions.

The Guest understands that the recording may be edited, published, hosted, embedded and distributed through the Producer’s selected platforms and channels.

15. Sponsorship & Monetisation

The Producer reserves the right to monetise the platform, including insertion of sponsor messages, advertising placements, affiliate references, partner messages and other commercial arrangements. The Guest acknowledges that third-party platforms may also display branding, recommendations, adverts or platform-controlled features in accordance with their own terms and settings.

16. Data Protection

Guest data and production materials may be stored or processed using systems including Notion, Google Drive, SuiteDash, podcast hosting platforms, video hosting platforms, email systems, transcription tools, scheduling tools and other production or distribution systems used by the Producer.

Where content is published or embedded through third-party platforms such as podcast directories, YouTube, Vimeo or social media platforms, those platforms may process viewer, listener or engagement data in accordance with their own privacy policies and terms.

Data will be processed in accordance with UK GDPR and the Producer’s Privacy Policy.

17. AI Transcripts, Captions and Supporting Materials

The Guest understands that transcripts, captions, summaries, show notes or promotional materials may be generated or assisted by transcription tools, artificial intelligence tools or other production software. While reasonable efforts may be made to review or edit these materials, minor transcription errors or wording differences may occur.

18. Interest on Late Payments

If any additional fees become payable under this Agreement and are not paid within 14 days, the Producer reserves the right to charge statutory interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

19. Recovery of Enforcement Costs

If the Producer is required to take action to enforce rights under this Agreement, reasonable administrative and legal recovery costs may be sought.

20. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or understandings.

The Guest acknowledges that they have not relied upon any statement not expressly set out in this Agreement.

Nothing in this clause limits liability for fraudulent misrepresentation.

21. Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

22. No Waiver

Failure to enforce any provision shall not constitute a waiver of rights.

Any waiver must be in writing.

23. Hosting & Distribution

The Guest understands that the audio episode, video episode, clips, extracts, transcripts and related materials may be hosted, published, embedded, syndicated and/or distributed through third-party platforms selected by the Producer. These may include podcast hosting platforms, podcast directories, YouTube, Vimeo, social media platforms, the Producer’s websites, email campaigns, website embeds, collaboration partners and other suitable distribution or promotional channels.

The specific hosting platform may vary depending on the format of the episode, the package purchased, the intended use of the content and the most appropriate method of publication or promotion.

The Producer does not guarantee that any specific platform will be used unless expressly agreed in writing.

24. Website Embedding and Sharing

Where applicable, the Guest may be provided with a shareable link, embed code, iframe or player that can be used to display the published episode on their own website or share it with their audience.

The availability, design, branding, privacy settings, advertising settings, recommendations, analytics and functionality of any player or embed may depend on the third-party platform used to host or distribute the episode.

The Guest is responsible for ensuring that any embed placed on their own website complies with their own website policies, cookie notices, privacy obligations and technical requirements.

The Producer is not responsible for how the Guest implements, displays or configures the embed on the Guest’s own website.

25. Third-Party Platform Terms and Availability

The Guest understands that publication, hosting, embedding, viewing, sharing and distribution may be subject to the terms, policies, technical limitations and availability of third-party platforms.

The Producer is not responsible for changes made by third-party platforms, including changes to player design, embed functionality, privacy options, advertising behaviour, account access, content rules, algorithms, search visibility, analytics, recommendations, availability or pricing.

If a third-party platform removes, restricts, demonetises, blocks, delays, changes or limits access to any content, the Producer will not be liable for any resulting loss, provided reasonable efforts have been made to publish or distribute the episode through suitable channels.

26. No Guarantee of Continued Platform Access

The Producer will make reasonable efforts to maintain access to published episodes. However, the Guest understands that third-party platforms may change, suspend, restrict, remove, archive or discontinue content or services outside the Producer’s control.

27. Embedding vs Repurposing

The Guest may share or embed the official published episode link, player, iframe or embed code as provided.

Sharing or embedding the official published episode does not grant the right to download, edit, cut, clip, extract, modify, repackage, re-upload, advertise, boost, sponsor, sell, license, redistribute or otherwise commercially repurpose the raw or edited audio/video files unless the appropriate Video and Audio Repurposing Upgrade has been purchased and confirmed in writing. Removing UK Business IQ branding, introductions, sponsor messages, credits or outros from the full published episode is never permitted, with or without an upgrade.

For the avoidance of doubt, embedding a YouTube, podcast or third-party player on the Guest’s website is permitted where provided, but downloading or extracting the underlying audio/video file from that platform is not permitted unless expressly agreed in writing.

28. Public, Unlisted and Private Content

UK Business IQ is designed as a visibility and authority platform. Unless expressly agreed in writing, published episodes are intended to be shareable and discoverable.

Where video content is hosted as unlisted, the Guest understands that this does not make the content fully private. Unlisted content may still be viewed or reshared by anyone with access to the link, depending on the platform used.

Private or restricted hosting, where available, must be agreed in writing before recording and may require a different hosting solution or additional fee.
